Talkclub Terms of Service
Effective Date: 30 January 2025
Welcome to Talkclub Terms of Service. Those terms apply to all of our services, which
include our mobile apps, our websites https://talkclub.net and all its subdomains, and any
other features provided as part of our services ("Our Services"). By accessing or using
Our Services, you agree to comply with these Terms of Service (the "Agreement"). Please
read them carefully.
1. Acceptance of Terms
By accessing or using Our Services, you agree to be bound by this Agreement and our
Privacy Policy, which is incorporated herein by reference. If you do not agree with these
terms, you must refrain from using Our Services.
2. Eligibility
To use Our Services, you must have the legal capacity to enter into binding agreements
(in most jurisdictions, 18 years old). You represent and warrant that you are either more
than the age of majority in your jurisdiction of residence, or possess legal or guardian
consent and are competent to enter into an agreement to accept these Terms of Service
and to use Our Services. Any use of Our Services by anyone under 16 is strictly prohibited
and in violation of this Agreement.
3. Account Registration
● Creating an Account: To use certain features of Our Services, including voice
calls, you must create an account. You must provide accurate and complete
information during the registration process.
● Account Security: You are responsible for maintaining the confidentiality of your
account credentials, including your password. You agree to notify us immediately
of any unauthorized access to your account.
4. Use of Our Services
You agree to use Our Services only for lawful purposes and in accordance with the
following guidelines:
● Respectful Interaction: You agree to interact with other users in a respectful,
professional, and courteous manner. Harassment, hate speech, abusive behavior,
and discriminatory actions are strictly prohibited.
● Language Exchange: The primary purpose of Our Services is to facilitate language
exchange. You agree to engage in meaningful language practice and avoid using
Our Services for inappropriate or non-educational purposes.
● Content Guidelines: You are responsible for any content you post, share, or
upload on Our Services. You agree to refrain from posting any content that:
○ Violates any law or regulation.
○ Infringes on intellectual property rights.
○ Contains offensive, defamatory, obscene, or sexually explicit material.
○ Promotes illegal activities or harmful behavior.
5. Child Safety Standards
We are committed to ensuring a safe, educational, and respectful environment for all
users, especially minors. While Our Services are designed for users aged 16 and above,
we have a strict zero-tolerance policy regarding any form of Child Sexual Abuse Material
CSAM and child exploitation, including but not limited to:
● Prohibition of CSAM The creation, sharing, or possession of CSAM is illegal, and
we actively monitor and work with authorities to prevent its dissemination on our
platform. Any user who uploads, shares, or distributes CSAM will have their
account immediately terminated and may be reported to the relevant law
enforcement agencies.
● Prohibition of Child Exploitation: We strictly prohibit any content or behavior that
exploits or harms minors. This includes, but is not limited to, any attempt to engage
in or encourage sexually explicit communication or activities involving minors.
● Reporting and Detection: We encourage users to report any suspicious or
inappropriate behavior. We use a combination of automated tools and manual
review processes to detect and prevent any violations of our child safety policy.

● Monitoring Voice Calls: Given the live nature of voice calls, we encourage users to
be vigilant and report any inappropriate behavior immediately. We reserve the right
to investigate any reported incidents and take appropriate action, which may
include account suspension, termination, and reporting to law enforcement
authorities if necessary.
6. Voice Calls
● Purpose of Voice Calls: Voice calls are provided as part of the language exchange
experience within Our Services. You agree to use this feature solely for educational
and language learning purposes. Voice calls are not intended for inappropriate or
non-constructive interactions.
● Call Privacy: While we aim to provide a secure and private environment for users,
you acknowledge that all calls are transmitted over the internet, and no system can
be fully secure. We encourage you to avoid sharing sensitive personal information
during voice calls.
● Call Behavior: During voice calls, you agree to:
○ Treat other users with respect and courtesy.
○ Refrain from using abusive, harassing, or offensive language.
○ Not engage in disruptive behaviors such as excessively loud noises,
offensive language, or actions that could interfere with the experience of
others.
● Call Recording: Users are prohibited from recording voice calls without the
express consent of all participants in the call. You must always inform the other
party if you intend to record any part of the conversation. Recording without
consent may result in account suspension or termination.
7. User-Generated Content
● Ownership: You retain ownership of the content you create and upload to Our
Services (such as text, images, and videos). However, by posting content on Our
Services, you grant us a worldwide, non-exclusive, royalty-free, and sublicensable
license to use, display, distribute, and promote such content for the purpose of
operating and marketing Our Services.
● Content Removal: We reserve the right to remove any content that violates these
Terms of Service or is deemed inappropriate at our sole discretion.
8. Privacy and Data Collection
● Privacy Policy: We are committed to protecting your privacy. Our Privacy Policy
outlines how we collect, use, and safeguard your personal information. By using
Our Services, you consent to the collection and processing of your data as
described in the Privacy Policy.

● Spamming: Sending unsolicited messages, promotional materials, or any form of
spam is prohibited.
● Data Mining: You may not use automated tools to scrape, mine, or collect data
from Our Services without our express permission.
● Disruptive Behavior: You may not disrupt or interfere with the proper functioning
of Our Services or engage in activities that could harm our Serviceʼs infrastructure,
including but not limited to introducing malware, viruses, or other harmful code.
10. Termination of Account
● Voluntary Termination: You may delete your account at any time by following the
process outlined in Our Services settings.
● Involuntary Termination: We reserve the right to suspend or terminate your
account if you violate these Terms of Service or engage in harmful or illegal
activities. We may also suspend or terminate your access if we believe it is
necessary to protect the safety, integrity, or functionality of Our Services.

partners shall not be liable for any direct, indirect, incidental, special, or
consequential damages arising out of your use or inability to use Our Services,
including voice calls.
13. Indemnification
You agree to indemnify, defend, and hold harmless us, our affiliates, and our officers,
directors, employees, and agents from any claim, liability, loss, damage, or expense
(including attorneysʼ fees) arising out of your use of Our Services, your participation in
voice calls, or your violation of these Terms of Service.
14. Modifications to the Terms
We reserve the right to modify or update these Terms of Service at any time. We will
provide notice of such changes by posting the updated Terms on Our Services and
updating the “Effective Dateˮ at the top of the document. By continuing to use Our
Services after such modifications, you agree to the updated terms.
15. Governing Law and Dispute Resolution
● Governing Law: These Terms of Service shall be governed by and construed in
accordance with the laws of Brazil.
● Dispute Resolution: Any disputes arising out of or relating to these Terms of
Service shall be resolved exclusively in the civil courts of the Court of the District
of São Paulo – SP, Brazil.
16. Miscellaneous
● Entire Agreement: These Terms of Service, together with our Privacy Policy,
constitute the entire agreement between you and us regarding your use of Our
Services.
● Severability: If any provision of these Terms of Service is found to be invalid or
unenforceable, the remaining provisions shall remain in full force and effect.
● Waiver: No waiver of any term or condition of this Agreement shall be deemed a
further or continuing waiver of such term or condition or any other term or
condition.
